MICHAEL SMITH | CEO & DIRECTOR
Mr. Smith is a business leader with more than a decade of experience across public company operations, capital markets, investor relations, and corporate communications. He has held executive and board roles with CSE-listed companies, led multimillion-dollar capital raises, and built a boutique advisory firm focused on growth-stage ventures.
With a background spanning marketing, compliance, and stakeholder engagement, Mr. Smith brings a strategic and execution-focused approach to corporate development, financing initiatives, and public market positioning.
ROBERT BAIN, ACA | CFO & DIRECTOR
Mr. Bain is a Chartered Accountant and senior finance executive an extensive track record of guiding financial strategy, corporate governance, and cross-border operations. He has advised and supported public companies through complex regulatory environments, bringing a disciplined and commercially minded approach to financial leadership.
His experience spans corporate finance, mergers and acquisitions, organizational structuring, and compliance frameworks across the United Kingdom, Europe, and the Middle East. Mr. Bain also brings a strong focus on operational efficiency, including the integration of emerging technologies and automation to strengthen business processes, reporting, and long-term scalability.
DAVID ROTOR | DIRECTOR
Mr. Rotor is a senior executive and advisor with extensive experience in financial strategy, operational transformation, and large-scale value creation. Over the course of his career, he has managed budgets exceeding $20 billion and contributed to more than $4.2 billion in cost savings and operational improvements.
He previously served as a Principal at Deloitte, where he delivered significant annual financial impact for clients, and as Vice President at PricewaterhouseCoopers, where he supported major outsourcing and transformation mandates.
SEAN SCOTT | DIRECTOR
Mr. Scott brings decades of management experience in structuring, scaling, and overseeing large teams, complex operations, and high-growth business initiatives. He has served as Director of New Green Generations Holdings, a private capital corporation focused on innovative growth opportunities, where he has led negotiations across several major transactions.
He also served as President of AMO Services, which supports public company compliance and communications across the North American capital markets. Through these roles, Mr. Scott brings a strong combination of operational leadership, transaction experience, and public company support expertise to the Company’s board.
